This Timeless.Audio Partner Pass Agreement (“Agreement”) governs the purchase, access, and use of the Timeless.Audio Partner Pass Commercial Business License.
The Partner Pass is provided by DeVito Holdings LLC, doing business as Timeless.Audio (“Timeless.Audio,” “we,” “us,” or “our”).
The person, business, organization, or other entity purchasing or using a Partner Pass is referred to as the “Licensee,” “you,” or “your.”
By checking the acknowledgment box during checkout and completing your purchase, you agree to this Agreement.
The Timeless.Audio Partner Pass is a commercial streaming license designed for businesses and organizations.
For $99.99 per month, an active Partner Pass provides access to the Timeless.Audio streaming collection for authorized use at one licensed business or organizational location.
The Partner Pass allows businesses to offer Timeless.Audio listening to customers, patients, residents, guests, visitors, employees, students, or other authorized listeners in connection with that location.
The Partner Pass is a license to access and use Timeless.Audio.
It is not a sale of any recording, audio file, copyright, trademark, software, intellectual property, or other Timeless.Audio asset.
An active Partner Pass includes:
Timeless.Audio may add, update, reorganize, replace, or remove content from the collection over time.
No specific title or amount of content is guaranteed to remain available permanently.
The standard Timeless.Audio Partner Pass price is:
The Partner Pass is a recurring monthly subscription.
By purchasing the Partner Pass, you authorize Timeless.Audio or its authorized payment processor to charge the payment method provided at checkout for the recurring monthly Partner Pass fee and any applicable taxes.
Your Partner Pass will automatically renew each month until cancelled.
The applicable subscription charge will be billed using the payment method associated with your account.
You authorize recurring charges at the price and frequency disclosed during checkout until you cancel the Partner Pass or the subscription is otherwise terminated.
Each standard Partner Pass covers one physical business or organizational location.
The Partner Pass may not be shared among multiple separately operated locations.
If Timeless.Audio is to be offered at additional locations, a separate Partner Pass is required for each location unless Timeless.Audio approves another arrangement in writing.
There is no per-listener charge under the standard Partner Pass.
Authorized customers, patients, residents, guests, visitors, employees, students, or other listeners may access or listen to Timeless.Audio in connection with the licensed location.
The Partner Pass does not limit the number of authorized listeners at that location.
Timeless.Audio is designed for digital streaming.
Authorized Timeless.Audio content may be accessed using compatible:
Internet access is required.
Licensee is responsible for its own internet connection, devices, speakers, displays, networking equipment, and other hardware necessary to use Timeless.Audio.
The Partner Pass is a streaming-only commercial license.
Unless expressly authorized by Timeless.Audio in writing, Licensee may not:
Authorized content must be accessed through Timeless.Audio or an approved Timeless.Audio delivery method.
Timeless.Audio may provide QR codes, access links, account access, digital players, or other methods that allow authorized listeners to access the Timeless.Audio collection.
These access methods remain part of the Partner Pass license.
Licensee may use them for authorized purposes connected with the licensed location.
Licensee may not intentionally publish, distribute, or share restricted Partner Pass access methods for unrestricted public use or for use by unauthorized businesses or locations.
Timeless.Audio may use reasonable technology to associate access with the originating Partner Pass account, business, or location.
The Partner Pass allows Timeless.Audio to be used as part of the normal environment of the licensed business or organization.

The Partner Pass does not grant rights beyond those specifically stated in this Agreement.
The Timeless.Audio collection may include a broad range of listening experiences and themes, including: mystery, adventure, romance, history, suspense, inspiration, drama, humor, classic literature, human experience, discovery, courage, ambition, survival, and imagination.
The collection may evolve and expand over time.
Timeless.Audio determines which content is included in the Partner Pass.
Some literary works presented by Timeless.Audio may originate from underlying works that are in the public domain.
The public-domain status of an underlying work does not give Licensee ownership of Timeless.Audio’s independently created materials.
Timeless.Audio materials may include:
These materials remain the property of Timeless.Audio or their applicable rights holders.
Purchasing a Partner Pass does not transfer ownership of Timeless.Audio content or intellectual property.
Licensee receives only the limited rights expressly granted by this Agreement.
All rights not expressly granted are reserved.
Licensee may not:
Licensee is responsible for safeguarding its Timeless.Audio account credentials and Partner Pass access methods.
Licensee must take reasonable steps to prevent unauthorized use.
Licensee should promptly notify Timeless.Audio of suspected unauthorized access, copying, sharing, or misuse.
Timeless.Audio may suspend access where material unauthorized use is reasonably suspected.
An active Licensee may identify itself as a Timeless.Audio Partner Pass participant.
Licensee may use promotional materials specifically supplied or approved by Timeless.Audio.
Licensee may not modify, misuse, or misleadingly display Timeless.Audio trademarks, logos, branding, artwork, or marketing materials.
Participation in the Partner Pass does not mean Timeless.Audio endorses the Licensee or its products or services.
The term “Partner Pass” is the commercial name of this licensing program.
Purchasing or using a Partner Pass does not create a legal partnership between Timeless.Audio and Licensee.
Nothing in this Agreement creates a:
Neither party has authority to bind the other unless separately authorized in writing.
Licensee may cancel the Partner Pass in accordance with the cancellation options made available through Timeless.Audio or its authorized subscription provider.
Cancellation normally becomes effective at the end of the current paid billing period.
Unless otherwise required by applicable law, monthly subscription charges already paid are nonrefundable.
Licensee may ordinarily continue using the Partner Pass until the end of the applicable paid period.
When the Partner Pass expires, is cancelled, or is terminated:
Timeless.Audio may suspend or terminate a Partner Pass for material violations of this Agreement.
Examples include:
Timeless.Audio may act immediately where reasonably necessary to protect its content, systems, customers, intellectual property, or legal rights.
Timeless.Audio will use commercially reasonable efforts to provide access to the Partner Pass.
Continuous or uninterrupted service is not guaranteed.
Temporary interruptions may occur because of:
Timeless.Audio may improve, modify, update, replace, or discontinue features of the Partner Pass.
Timeless.Audio may also modify the content available through the Partner Pass.
These changes do not transfer ownership rights to Licensee or change the streaming-only nature of the license.
Timeless.Audio may change the Partner Pass subscription price in the future.
Reasonable notice will be provided before a new price applies to a future billing period.
If Licensee does not wish to continue at a new price, Licensee may cancel before the new price becomes effective.
Timeless.Audio does not guarantee that use of the Partner Pass will produce any particular:
Licensee is responsible for determining whether the Partner Pass is appropriate for its environment.
To the maximum extent permitted by applicable law, Timeless.Audio and its owners, affiliates, officers, directors, employees, contractors, suppliers, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the Partner Pass or its use.
This includes claims involving lost profits, lost revenue, lost business opportunities, lost data, business interruption, or loss of goodwill.
To the maximum extent permitted by law, Timeless.Audio’s total aggregate liability arising from the Partner Pass or this Agreement will not exceed the amount actually paid by Licensee for the Partner Pass during the twelve months immediately preceding the event giving rise to the claim.
Licensee agrees to defend, indemnify, and hold harmless Timeless.Audio and its owners, affiliates, officers, directors, employees, contractors, and service providers from claims, losses, damages, liabilities, costs, and reasonable attorneys’ fees arising from:
Licensee agrees that Timeless.Audio may provide agreements, notices, billing information, subscription information, disclosures, updates, and other communications electronically.
Electronic communications may be delivered through:
Licensee agrees that affirmatively checking the Partner Pass acknowledgment box during checkout and completing the purchase constitutes electronic acceptance of this Agreement.
Electronic acceptance has the same effect as accepting a written agreement by signature to the extent permitted by applicable law.
Timeless.Audio or its service providers may retain electronic records relating to acceptance, including transaction information and available records showing the date, time, account, or purchase associated with the acceptance.
This Agreement is governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Any legal proceeding arising from this Agreement will be brought in a court of competent jurisdiction in the Florida county where Timeless.Audio maintains its principal business office unless applicable law requires otherwise.
If any part of this Agreement is determined to be invalid or unenforceable, the remaining provisions remain in effect.
An invalid provision will be interpreted or modified only to the minimum extent necessary to make it enforceable where legally permitted.
Failure by Timeless.Audio to enforce a provision of this Agreement does not waive the right to enforce that provision or another provision later.
Licensee may not sell, assign, transfer, sublicense, or otherwise transfer its Partner Pass or rights under this Agreement without prior written approval from Timeless.Audio.
Timeless.Audio may assign this Agreement in connection with a sale, acquisition, merger, restructuring, transfer of assets, or transfer of the Timeless.Audio business.
This Partner Pass Agreement, together with any applicable Timeless.Audio Terms of Service, Privacy Policy, checkout disclosures, and cancellation terms, constitutes the agreement governing the standard Partner Pass.
If a specific written agreement signed by Timeless.Audio provides different terms for a particular Licensee, that written agreement will control to the extent of the conflict.
Before completing the Partner Pass purchase, the customer should be presented with an unchecked acknowledgment box stating:

The customer should be required to affirmatively check the box before completing the purchase.
